Welcome to Cleverly Academy, operated by Parker International LLC (“we,” “us,” or “our”). By accessing or using our website at cleverlyacademy.com and any associated services (collectively, the “Service”), you agree to be bound by these Terms of Service.

1. Eligibility

You must be at least 18 years of age to create an account and subscribe to the Service. The Service is designed for use by families, and children under 18 may use the Service under the supervision and with the consent of a parent or legal guardian who holds the account. By creating an account, you represent that you are at least 18 years old.

2. Accounts

When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

3. Subscriptions and Billing

Cleverly Academy offers subscription plans billed on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on a recurring basis. All subscriptions begin with a free trial period as stated at the time of signup. After the trial period, your payment method will be automatically charged unless you cancel before the trial ends.

Prices are subject to change with reasonable notice. You may cancel your subscription at any time from your account page. Upon cancellation, you will retain access to the Service until the end of your current billing period. We do not provide refunds for partial billing periods.

4. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service or its infrastructure; (d) use automated means to access the Service without our written permission; or (e) impersonate any person or entity.

5. Intellectual Property

All content, features, and functionality of the Service, including but not limited to puzzles, graphics, logos, and software, are owned by Parker International LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Service without our written consent.

6. User Content

You retain ownership of any content you create through the Service, such as player profile names and avatars. By using the Service, you grant us a limited license to display this content as necessary to operate the Service, including on leaderboards.

7. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Parker International LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

10. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Pinellas County, Florida.
